THIS IS AN AGREEMENT BETWEEN YOU OR THE COMPANY YOU REPRESENT (THE “CUSTOMER”) AND AKSIOS CORPORATION Ltd (THE “MANUFACTURER”). PLEASE READ THIS AGREEMENT CAREFULLY.

LICENSE AGREEMENT

Individual, corporate and educational customers may purchase software and applications (“Products”) from Aksios Corporation Oy (Business ID 1860232-5) through the online store. Finnish law and these terms and conditions apply to the online store.

Individual and corporate customers may order Products without registering with the Service. In this case, the contact information provided by the subscriber will be used primarily for the delivery of the order placed and for processing the payment transaction. The subscriber must be 18 years of age or older.

Products are purchased by registering and ordering the product in question via the sitro.net e-commerce shopping cart. To place an order, you must provide an e-mail address when placing the order. To use the services, the customer must have access to the Internet and a computer or mobile device with Internet access.

All orders are confirmed by e-mail. The order confirmation sent to the customer will serve as proof of payment and no other receipt will be sent. The order confirmation is also available on the customer’s own account www.sitro.net in the online shop.

The Customer agrees to be bound by the current Licence Agreement for each order.

Copyright © “Products” belongs to Aksios Corporation Oy. The software and applications are protected by Finnish copyright law and international copyright treaties. All intellectual property rights related to the Software are retained by the Manufacturer. The Manufacturer grants the Customer a non-exclusive right to use the Software in accordance with the terms and conditions of this License Agreement. The Customer shall comply with the terms and conditions of this License Agreement.

2 Use

The licence to use the Software and this Agreement shall enter into force between the Customer and Aksios Corporation Oy when the Customer has accepted this Agreement in the online shop and has been created and sent an account for the Product. This means that the delivery of the Service to the Customer has commenced, with the Customer’s consent, electronically before the expiry of the 14-day withdrawal period for distance selling. Therefore, the 14-day withdrawal right does not apply to Products purchased from the www.sitro.net online shop.

If a free trial period of 14-days is explicitly indicated onwww.sitro.net, the Customer may use the Products free of charge during the trial period in question.

The Customer may use the Software if he has paid the licence fee to the Manufacturer, or pays it within the agreed payment period. The licence fee is a recurring fee, and the duration of the licence is limited in time.

3 Invoicing and pricing

Payment for the Products is made at the time of ordering. Invoicing is done once a month in advance. We use the secure Stripe payment service. You can pay in our online shop with credit cards (Visa, MasterCard, American Express).

Stripe is a secure and easy payment method. When you choose to pay by credit card on the Payment Method page of our online shop, Stripe acts as your payment processor. The payment is made directly on the e-commerce website, and you are not redirected to another service. When you pay using the credit card payments offered by Stripe, you agree to Stripe’s terms and conditions, which you can find here.

The online shop uses international Verified by Visa and MasterCard SecureCode authentication services.

The manufacturer reserves the right to increase prices or make other changes to the terms of the contract. The manufacturer must give at least thirty (30) days’ notice of any increase or other change.

4 Assignment

The Customer may sub-license a valid concession to a third party provided that the transferee accepts the terms and conditions of this concession agreement, and the transferee is domiciled or resident in a Member State of the European Union.

5 Modification

The Customer may not modify the Software. The intellectual property rights contained in the Software may not be removed or modified. The Software may not be translated into binary form or into another programming language.

6 Termination

The Customer shall have the right to terminate this License Agreement or any existing license. The manufacturer has the right to terminate this concession agreement or the existing concession if the user does not comply with the contractual terms of this concession agreement. Upon termination of the licence, the user shall immediately cease to use the software. Upon termination of the License Agreement, the User shall immediately cease using the Software and destroy all copies of the Software, working copies and backups under its control, if any, that have been provided to the User. The licence fee is non-refundable.

Termination shall take effect thirty (30) day after written notice of termination is given by the Customer to the Manufacturer.

7 Service availability

Services and Products may be unavailable from time to time, may be offered on a limited basis, or may vary depending on the customer’s location, device and other external factors (such as the customer’s Internet or network connection).

We will endeavor to keep the Services and Products operational. However, they are not guaranteed to provide any specific quality of service, and all online services are subject to occasional disruptions and outages. If there is an interruption or outage in the Service, Customer Content may be temporarily unavailable. We recommend that you regularly back up any data that you store on the Products.

Aksios Corporation Oy is not liable for damages caused by force majeure. Aksios Corporation Oy is not liable for any damages caused by errors in products, services or digital content.

8 Warranty and limitation of liability

The manufacturer shall not be liable for any direct, indirect, incidental, consequential or indirect damages, losses, compensation, or claims of third parties arising out of the use of the software, inability to use, defects or vulnerabilities, or loss of data.

9 References

The Manufacturer is entitled to use the Customer’s name as a reference unless the Customer expressly objects in writing.

10 General

This Concession Agreement shall be governed by and construed in accordance with Finnish law. Finland is a Member State of the European Union. In the event of any discrepancy between the Finnish version and the different language versions of this Concession Agreement, the Finnish version shall prevail.
